1. Agreement to Terms
These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("you," "your," or "User") and grovv ("we," "us," "our," or "grovv") governing your access to and use of the grovv service, including but not limited to the grovv mobile application, Chrome browser extension, website at grovv.app, and any related services, features, content, or applications (collectively, the "Service").
By creating an account, clicking "I agree," or otherwise accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Service.
2. Eligibility
You must be at least 13 years of age to use the Service. If you are under 18, you represent that you have your parent's or legal guardian's permission to use the Service and to agree to these Terms. By using the Service, you represent and warrant that you meet these eligibility requirements and that you have the legal capacity to enter into a binding agreement.
If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
3. Account Registration and Security
To access certain features of the Service, you must create an account. You agree to:
- Provide accurate, current, and complete information during registration
- Maintain and promptly update your account information
- Keep your password confidential and secure
- Accept responsibility for all activities that occur under your account
- Notify us immediately of any unauthorized access or security breach
We reserve the right to suspend or terminate your account if we suspect any violation of these Terms or fraudulent, abusive, or illegal activity.
4. License to Use the Service
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial use. This license does not include any right to copy, modify, distribute, sell, or create derivative works of the Service or any of its content.
You may not use the Service for any commercial purpose without our prior written consent.
5. User Content and Conduct
5.1 Your Content. You retain ownership of any content you submit, post, or display through the Service ("User Content"), including saved URLs, titles, tags, notes, and ratings. By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free, sublicensable license to use, store, display, reproduce, and distribute your User Content solely for the purpose of operating, providing, and improving the Service.
5.2 Your Responsibility. You are solely responsible for your User Content and the consequences of posting or publishing it. You represent and warrant that you own or have the necessary rights to your User Content and that your User Content does not violate any third-party rights or applicable laws.
5.3 Prohibited Conduct. You agree not to:
- Use the Service for any illegal purpose or in violation of any laws
- Infringe any intellectual property, privacy, or other rights of any third party
- Transmit any malware, viruses, or other harmful code
- Attempt to gain unauthorized access to the Service, other accounts, or our systems
- Interfere with or disrupt the Service or servers or networks connected to the Service
- Use automated means (bots, scrapers, etc.) to access the Service without our permission
- Impersonate any person or entity or misrepresent your affiliation
- Harass, abuse, or harm another person
- Collect or harvest any information from the Service without our consent
We reserve the right to remove any User Content and suspend or terminate accounts that we determine, in our sole discretion, violate these Terms.
6. Third-Party Content and Links
The Service allows you to save links to third-party websites, articles, videos, and other content. We do not host, control, or endorse any third-party content. When you save a link, we store the URL, title, and metadata you provide. We do not verify the accuracy, legality, or appropriateness of third-party content.
Your use of any third-party content is at your own risk. We are not responsible for the availability, content, or practices of any third-party sites or services. You should review the terms and privacy policies of any third-party sites you access.
7. Intellectual Property
The Service, including its design, features, code, logos, trademarks, and all content we create (other than User Content), is owned by grovv and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works of our Service or content without our express written permission.
8. Copyright and DMCA
We respect the intellectual property rights of others. If you believe that content on the Service infringes your copyright, please send a written notice to uljana@hey.com with:
- Identification of the copyrighted work claimed to have been infringed
- Identification of the material that is claimed to be infringing
- Your contact information
- A statement that you have a good-faith belief that use is not authorized
- A statement under penalty of perjury that the information is accurate
- Your physical or electronic signature
We will respond to valid DMCA notices and may remove infringing content and terminate repeat infringers.
9. Chrome Extension
The grovv Chrome extension is part of the Service. By installing and using the extension, you agree to these Terms. The extension requests certain browser permissions (e.g., activeTab, storage, scripting) solely to enable its functionality—such as reading the URL and title of the current tab when you choose to save content. We do not collect your browsing history. The extension operates only when you explicitly interact with it. We make no warranty that the extension will be compatible with all browsers or configurations.
10. Privacy
Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your information. By using the Service, you consent to our data practices as described in the Privacy Policy.
11. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
We do not warrant that the Service will be uninterrupted, error-free, secure, or free of viruses or other harmful components. We do not warrant the accuracy, completeness, or usefulness of any content on the Service. You use the Service at your sole risk.
We are not responsible for any content you save, share, or access through the Service, including third-party content. We do not endorse any User Content or third-party content.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL GROVV, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE.
IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US, IF ANY, IN THE TWELVE (12) MONTHS PRIOR TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).
Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability will be limited to the maximum extent permitted by law.
13. Indemnification
You agree to indemnify, defend, and hold harmless grovv and its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your User Content; (c) your violation of these Terms; (d) your violation of any third-party right; or (e) any claim that your User Content caused damage to a third party.
14. Termination
You may terminate your account at any time by using the account deletion feature in the Service or by contacting us at uljana@hey.com.
We may suspend or terminate your access to the Service at any time, with or without cause or notice, including for violation of these Terms. Upon termination, your right to use the Service will immediately cease.
Sections that by their nature should survive termination (including Sections 5.1, 7, 11, 12, 13, 15, 16, and 17) will survive.
15. Dispute Resolution and Arbitration
15.1 Informal Resolution. Before filing a formal dispute, you agree to contact us at uljana@hey.com to attempt to resolve the dispute informally. We will try to resolve the dispute within 30 days.
15.2 Binding Arbitration. If the dispute is not resolved informally, you and grovv agree that any dispute arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by a recognized arbitration organization in accordance with its rules. The arbitration shall be conducted in the English language. The arbitrator's decision shall be final and binding.
15.3 Class Action Waiver. YOU AND GROVV AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims and may not preside over any form of representative or class proceeding.
15.4 Exceptions. Either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights.
16. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the United States and the State of Delaware, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms shall be brought exclusively in the federal or state courts located in Delaware, and you consent to the personal jurisdiction of such courts.
17. Changes to Terms
We may modify these Terms at any time. We will notify you of material changes by posting the updated Terms on the Service and updating the "Last updated" date. Your continued use of the Service after such changes constitutes your acceptance of the revised Terms. If you do not agree to the new Terms, you must stop using the Service and may delete your account.
For significant changes, we may provide additional notice (e.g., by email or in-app notification) where feasible.
18. General Provisions
Entire Agreement. These Terms, together with the Privacy Policy and any other policies we publish, constitute the entire agreement between you and grovv regarding the Service.
Severability. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
Waiver. Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.
Assignment. You may not assign or transfer these Terms or your account without our consent. We may assign our rights and obligations without restriction.
